Start-up Counseling and Entity Formation. Gabell Beaver works with clients and their business advisors to determine the choice of entity for their business and provides counseling with respect to the structuring of equity ownership.

Governing Documents. Every corporation, LLC and partnership needs an agreement to govern the relationship of the equity owners and many require a buy-sell agreement among the equity owners. Gabell Beaver has drafted hundreds of these agreements and has developed a process that enables it to efficiently and economically draft the required agreements.

Employment/Consulting Agreements. Gabell Beaver assists clients in developing employment/consulting agreements, confidentiality agreements and non-compete agreements that allow business owners to focus on growing the business rather than protecting it.

Commercial Contracts. During its life, almost every business will have to sign some form of contract. Gabell Beaver has significant experience in drafting general commercial contracts including service agreements, vendor/supplier agreements and leases. It also handles all phases of a transaction including the drafting and negotiation of the letter of intent, legal due diligence and preparation of the purchase agreement.

Financings and Debt Transactions. The firm represents both lenders and borrowers in connection with all forms of loan and financing transactions, both secured and unsecured. Representation includes assisting lenders and borrowers with obtaining or providing the necessary due diligence information in the most efficient manner to close the loan quickly.

Joint Ventures. Gabell Beaver represents clients involved in joint ventures – from the term sheet stage to the closing of the transaction. Following the closing, the firm often advises clients as to whether all parties are complying with their legal obligations under the joint venture agreement.
